In the Season 8 comic The Long Way Home, Part 1, we find out that Amy has survived the destruction of Sunnydale in 7.22 Chosen.
She can remember her name, and she has survived alongside another person (who we later find out is a skinned Warren). It is mentioned that Amy could have been keeping them both alive with magic and maybe by also eating whatever else could have been trapped in the crater.

Then I have to ask : why was the First able to take Warren’s shape if he had survived being skinned ?

Maybe Amy was in Hell after Sunnydale was destroyed and Warren was there also and so brought him back using magic. Just a suggestion.

One of the fan letters pointed this out too, asking how it was possible if Waren didn’t actually die, and in the replies, Joss was like “…I forgot.”
And in one of the recent Angel issues, Joss is quoted as saying that Warren was dead for a split second. Hence still making it possible for the First to take his shape. Something along those lines, anyway!
I think the answer really is that Joss just forgot about the being dead rule XD
